Terms of Service

1. Acceptance of Terms

By accessing or using Agency Script ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Description of Service

Agency Script provides an AI agency certification and training platform, including:

  • Role-based learning paths and educational content
  • Interactive labs and assessments
  • Human-reviewed certification programs
  • Community access
  • Templates and tools

3. Account Registration

You must register for an account to access most features. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

You must be at least 18 years old to create an account.

4. Subscription and Payment

4.1 Subscription Plans

We offer multiple subscription tiers with different feature access. Subscriptions are billed monthly or annually based on your selection.

4.2 Payment

Payment is processed through Stripe. By providing payment information, you authorize us to charge your payment method for subscription fees.

4.3 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period. No prorated refunds are provided for partial billing periods.

4.4 Certification Fees

Certification attempt fees are separate from subscription fees and are non-refundable once assessment begins. Certifications carry lifetime validity once earned, with optional advanced levels available for continued growth.

4.5 All Sales Final Policy

ALL SALES ARE FINAL. NO REFUNDS.

Due to the nature of digital products and immediate access to platform content, all purchases are final and non-refundable. By completing a purchase, you acknowledge and agree that:

  • • You will receive immediate access to digital content upon payment
  • • Digital products cannot be "returned" once accessed
  • • No refunds, credits, or chargebacks will be honored
  • • Disputing a charge after receiving access constitutes fraud
  • • We reserve the right to pursue legal remedies for fraudulent chargebacks

If you experience technical issues preventing access to purchased content, contact support@agencyscript.com within 7 days of purchase. We will resolve access issues but do not provide monetary refunds.

5. Founders Circle Program

5.1 Program Overview

The Founders Circle is a limited pre-launch program offering exclusive lifetime benefits to qualifying members. Participation requires application approval and payment of the Founders Fee.

5.2 Founders Circle Pricing and Benefits

Founders Circle members receive:

  • • Lifetime platform access (included with Founders Fee)
  • • Exclusive Founders pricing on Certification and Vault products
  • • Priority review SLA when certification launches
  • • Founding Member badge and private community access

Founders pricing on Certification and Vault products is only available at the time of initial purchase. These add-ons cannot be purchased at Founders pricing after completing your initial order.

5.3 Founders Circle - All Sales Final

FOUNDERS CIRCLE PURCHASES ARE FINAL AND NON-REFUNDABLE

By purchasing Founders Circle membership, you expressly acknowledge and agree:

  • • The Founders Fee and all add-on purchases are final and non-refundable
  • • You are purchasing access to digital content and future benefits
  • • Content will be delivered progressively as developed through Q2 2026 launch
  • • No refunds will be issued regardless of whether you use the content
  • • Certification and Vault add-ons are pre-purchases for future delivery
  • • You waive any right to dispute or chargeback your purchase
  • • Initiating a chargeback after purchase constitutes breach of contract

We will deliver all promised benefits and content as outlined. If we fail to deliver on our commitments, you may contact founders@agencyscript.com to discuss resolution. However, dissatisfaction with content quality or business outcomes does not constitute grounds for refund.

5.4 Chargeback Policy

If you initiate a chargeback or payment dispute after receiving access to purchased content, we reserve the right to: (a) immediately terminate your account and revoke all access; (b) report the fraudulent activity to relevant authorities; (c) pursue legal action to recover the disputed amount plus associated fees and damages; (d) report the incident to chargeback prevention databases. By completing a purchase, you acknowledge this policy and agree that initiating a fraudulent chargeback after receiving digital access constitutes theft.

5.5 Delivery of Benefits

Platform access is granted immediately upon payment. Certification program and Vault content will be delivered when launched (anticipated Q2 2026). All delivery timelines are estimates and subject to change. We commit to delivering all purchased benefits but do not guarantee specific delivery dates.

6. Certification Program

6.1 Certification Standards

Certifications are awarded based on demonstrated capability, not completion of content. All certifications require human review against documented rubrics.

6.2 Certification Validity

Certifications carry lifetime validity once earned. Each certification level (Fundamentals, Operator, Architect, Principal) represents demonstrated capability at assessment time and remains valid indefinitely.

6.3 Revocation

Certifications may be revoked for fraud, ethical violations, or misrepresentation. Revocation decisions are made following documented procedures with opportunity to respond.

6.4 No Outcome Guarantees

Certification does not guarantee employment, revenue, or business outcomes. Certification validates demonstrated capability at the time of assessment.

7. Intellectual Property

7.1 Our Content

All Platform content, including but not limited to courses, labs, templates, frameworks, SOPs, automations, prompts, documentation, Vault materials, and any other digital assets ("Content"), is owned by Agency Script or its licensors and is protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access Content solely for your personal or internal business use during your active subscription or ownership period.

7.2 Your Content

You retain ownership of original content you submit. By submitting content, you grant us a license to use, store, and review that content for assessment purposes.

7.3 Strict Prohibitions

YOU MAY NOT:

  • • Copy, reproduce, duplicate, or download Content except as expressly permitted
  • • Distribute, share, publish, or transmit Content to any third party
  • • Sell, license, sublicense, or commercially exploit any Content
  • • Modify, adapt, translate, or create derivative works from Content
  • • Remove or alter any copyright, trademark, or proprietary notices
  • • Use Content to train AI models or machine learning systems
  • • Share account credentials or provide access to non-licensed users
  • • Screen capture, record, or otherwise reproduce video or interactive content
  • • Upload Content to file sharing services or public repositories
  • • Use automated tools to download, scrape, or extract Content
  • • Resell, white-label, or rebrand any templates, frameworks, or materials

7.4 Vault and Template Usage

Vault templates, SOPs, automations, and frameworks are licensed for your personal or internal business use only. You may use these materials to operate your own business but may NOT: (a) resell or distribute the templates themselves; (b) include them in products or services you sell; (c) share them with clients, partners, or other parties; (d) publish them online or make them publicly accessible; or (e) claim ownership or authorship of the materials.

7.5 Enforcement

We actively monitor for unauthorized distribution of our Content. Violations may result in immediate account termination, revocation of all licenses and certifications, legal action for copyright infringement, and pursuit of statutory damages. We may report violations to relevant authorities and industry blacklists.

8. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Submit false or misleading information
  • Attempt to gain unauthorized access to systems
  • Interfere with Platform operation or security
  • Use automated tools to access the Platform
  • Share account credentials or licensed content
  • Submit work that is not your own for certification
  • Misrepresent your certification status or credentials

9. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated by reference into these Terms.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENCY SCRIPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Agency Script and its officers, directors, employees, and agents from any claims arising from your use of the Platform or violation of these Terms.

13. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use after changes constitutes acceptance of modified Terms.

14. Termination

We may suspend or terminate your access for violation of these Terms or for any reason with reasonable notice. Upon termination, your license to access Platform content ends immediately.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any certification agreements, constitute the entire agreement between you and Agency Script.
